Terms of Service
Last Updated: October 2026
These Terms of Service ("Terms") govern the professional software development, consulting, and cybersecurity auditing services provided by TheWebSolve ("Company", "we", "our"). By engaging our services, signing a statement of work, or utilizing our website, you agree to these Terms.
1. Engagement & Statements of Work
All professional engineering engagements are governed by an itemized Scope Document or Statement of Work (SOW) specifying deliverables, sprint milestones, and timelines. Any additions or modifications to the initial scope must be agreed upon in writing via a mutually signed Change Request.
2. Milestone Billing & Payment Schedules
Unless otherwise explicitly detailed in an individual client agreement:
- Fixed-Price Projects: Billed on a standard 40/40/20 schedule: 40% upon contract signing, 40% upon demonstration of the verified staging milestone, and 20% upon final go-live deployment sign-off.
- Dedicated Squad Retainers: Billed on a monthly advance schedule for allocated engineering hours.
- Security Audits & Pentests: Billed 50% upon execution of Rules of Engagement, and 50% upon delivery of the Executive and Technical Remediation Reports.
2.1 Recurring Retainers, Automatic Renewal & Simple Cancellation Policy
In full compliance with the Federal Trade Commission (FTC) Negative Option Rule (16 C.F.R. Part 425), the Restore Online Shoppers’ Confidence Act (ROSCA, 15 U.S.C. §§ 8401–8405), and state Automatic Renewal Laws (including California Business and Professions Code § 17602):
- Recurring Billing Cadence: Dedicated engineering squads and recurring cybersecurity retainers automatically renew on a recurring monthly (30-day) advance billing cycle until affirmatively canceled by the Client.
- Prior Notice: Recurring retainer invoices are generated and dispatched 7 days prior to the start of each renewal cycle.
- Simple Cancellation ("Click-to-Cancel"): Clients may cancel their recurring retainer agreement at any time with zero cancellation fees or penalties. Cancellation requests must be submitted in writing with 14 business days notice prior to the start of the subsequent monthly billing cycle by emailing billing@thewebsolve.com or notifying your designated engineering lead.
- Refunds on Advance Retainers: Prepaid retainer hours are committed to dedicated engineering squads and are non-refundable once the monthly sprint has commenced, except in the event of a verified breach of agreed SLA deliverables by TheWebSolve.
3. Intellectual Property & Code Ownership
100% Client Ownership Guarantee: Upon full settlement of all agreed project milestone payments, all bespoke software code, Git repositories, database architectures, designs, and digital assets created specifically for the Client become the exclusive intellectual property of the Client.
TheWebSolve retains ownership of generic, open-source libraries, pre-existing utilities, and internal diagnostic tooling utilized during the development lifecycle.
4. Client Responsibilities
The Client agrees to:
- Provide necessary brand assets, credentials, content, and feedback in a timely manner to maintain project sprint timelines.
- Conduct User Acceptance Testing (UAT) within 7 business days of staging milestone delivery.
- Ensure that all third-party APIs, merchant gateway accounts, and domains registered by the Client adhere to applicable laws and licensing agreements.
5. 30-Day Bug Warranty & Ongoing Maintenance
TheWebSolve warrants that all deliverables will perform in accordance with agreed specifications upon launch. Every fixed-price deployment includes a 30-day complimentary bug-fix period beginning on go-live day.
Defects identified during this warranty window will be remediated without additional charges. Issues arising from third-party API deprecations, client modifications, or unauthorized server tampering are exempt from warranty coverage.
6. Penetration Testing Rules of Engagement
Clients engaging TheWebSolve for ethical hacking or penetration testing represent and warrant that they possess full legal authority and system ownership over all target domains, IP ranges, and cloud assets submitted for auditing.
TheWebSolve agrees to conduct non-destructive testing strictly within defined scopes, using industry-standard precautions to prevent data loss or server disruption.
7. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages resulting from the use or inability to use the delivered software. Total liability arising under any engagement shall not exceed the total fees actually paid by the Client to TheWebSolve under the applicable Statement of Work.
